Title:Pogodba o dosmrtnem preživljanju v luči pogodbenih obveznosti strank : magistrsko delo

Abstract:Dandanes se v praksi pogosto srečamo z ljudmi, ki na svoja stara leta ali zaradi slabega zdravstvenega stanja več ne zmorejo skrbeti sami zase ter so lastniki kakšne nepremičnine in v tem primeru sklenejo pogodbo o dosmrtnem preživljanju, saj si želijo na ustrezen pravni način zagotoviti varnost v zadnjem obdobju svojega življenja. V primeru sklenitve pogodbe o dosmrtnem preživljanju posameznik oziroma pogodbena stranka ostane lastnik nepremičnine do svoje smrti, druga pogodbena stranka pa bo sopogodbeniku na ustrezen in primeren način nudila pomoč ter varno starost. Pogodba o dosmrtnem preživljanju je ena izmed pogodb, ki je najprimernejša za ureditev medsebojnih razmerij v primeru zgoraj navedenih želj stranke. S pogodbo o dosmrtnem preživljanju se namreč pogodbenik (preživljalec) zaveže, da bo preživljal drugega pogodbenika ali koga drugega (preživljanca), drugi pogodbenik pa izjavi, da mu zapušča vse svoje premoženje ali del premoženja, katerega izročitev je odložena do smrti preživljanca. Zakon za sklenitev zadevne pogodbe ne določa sorodstvenega razmerja med strankama, iz česar sledi, da lahko pogodbo o dosmrtnem preživljanju sklene tudi oseba, ki nima bližnjih sorodnikov. V magistrski nalogi je podrobneje analizirana in predstavljena pogodba o dosmrtnem preživljanju, tako iz zakonske ureditve, kot tudi sodne prakse. Z uveljavitvijo Obligacijskega zakonika so bile določbe pogodbe o dosmrtnem preživljanju prenesene iz Zakona o dedovanju v Obligacijski zakonik. Pogodba o dosmrtnem preživljanju je obligacijskopravna pogodba, ki ustvarja obveznosti za obe pogodbeni stranki, torej med strankama nastane dvostransko obligacijsko razmerje (obe stranki sta hkrati dolžnik in upnik). Pogodba o dosmrtnem preživljanju se v slovenski pravni praksi uporablja v različne namene. Pri sestavi takšne pogodbe pa ima pomembno vlogo notar, saj se za sklenitev pogodbe zahteva stroga obličnost pravnega posla – pogodba mora biti namreč sklenjena v obliki notarskega zapisa. Nadalje je v primeru izpolnjevanja katerega izmed razlogov za razvezo pogodbe pomembna vloga sodišča, ki lahko pogodbo na predlog ene ali druge stranke tudi razveže. Bistvena značilnost pogodbe o dosmrtnem preživljanju je, da ob njeni sklenitvi ni znano, koliko časa bo moral preživljalec izpolnjevati svojo obveznost do preživljanca. Preživljalčeva obveznost je namreč odvisna od povsem negotovega in življenjskega dejstva (nastopa smrti preživljanca). Iz navedenega je mogoče zaključiti, da ima pogodba o dosmrtnem preživljanju elemente tveganja (elemente aleatornosti).

Title:Lifetime maintenance contract in the light of contractual obligations
Abstract:In practice, we often meet people who, in their old age or because of ill health, are no longer able to look after themselves and who own property, in which case they enter into a lifetime maintenance contract because they want to ensure that they have adequate legal security in the last years of their lives. In the case of a lifetime maintenance contract, the individual or the contracting party will remain the owner of the property until his/her death and the other contracting party will provide support and a secure old age in an appropriate and adequate manner to his/her partner. A lifetime maintenance agreement is one of the most appropriate agreements to regulate the relationship between the parties in the event of the above-mentioned wishes of the parties. In a lifetime maintenance agreement, a party (the breadwinner) undertakes to maintain the other party or someone else (the survivor), and the other party declares that he or she bequeaths to the other party all or part of his or her property, the delivery of which is deferred until the death of the breadwinner. The law does not provide for a relationship between the parties for the conclusion of the contract in question, which implies that a person who has no close relatives may conclude a contract for maintenance for life. The Master's thesis analyses and presents in more detail the life maintenance contract, both in terms of statutory provisions and case-law. With the entry into force of the Code of Obligations, the provisions of the maintenance contract were transferred from the Law on Succession to the Code of Obligations. A life maintenance contract is a contract of obligation creating obligations for both parties, i.e. a bilateral obligation is created between the parties (both parties are debtor and creditor at the same time). The life maintenance contract is used in Slovenian legal practice for various purposes. However, the notary plays an important role in the drafting of such a contract, as the conclusion of the contract requires a strict formality of the legal transaction - the contract must be concluded in the form of a notarial deed. Furthermore, if one of the grounds for termination of the contract is fulfilled, the court has an important role to play, as it can also terminate the contract on the application of one or other of the parties. An essential feature of a life maintenance contract is that it is not known at the time of its conclusion how long the maintenance provider will have to fulfil his obligation towards the maintenance recipient. The survivor's obligation is dependent on a purely uncertain and vital fact (the onset of the survivor's death). From the foregoing, it can be seen that a contract for lifetime maintenance has elements of risk (elements of aleatoricity).
