Title:Primerjava korporativnega upravljanja družbe za upravljanje in Slovenskega državnega holdinga d. d. (SDH, d. d.) : magistrsko delo

Abstract:Osrednja tema magistrske naloge je primerjava upravljanja Slovenskega državnega holdinga, d. d., z upravljanjem družbe za upravljanje, katerih opravljanje dejavnosti je usmerjeno v upravljanje tujega premoženja. Družba za upravljanje je pravna oseba, katere primarna dejavnost je upravljanje z investicijskimi skladi. V Republiki Sloveniji je trenutno registriranih pet družb za upravljanje. Te, poleg upravljanja investicijskih skladov, izvajajo tudi druge finančne storitve. Za potrebe ureditve njihovih statusnopravnih značilnosti in upravljanja se uporablja Zakon o investicijskih skladih in družbah za upravljanje (ZISDU-3), ki predvideva dvotirni sistem upravljanja, oblikovanj z upravo in nadzornim svetom. Slovenski državnih holding, d. d., pa velja za krovnega upravljalca državnih kapitalskih naložb, ki jih vlaga v več gospodarskih družb. Prek teh vpliva in se vključuje v različne panoge, kot so energetika, turizem in promet. Poleg upravljanja kapitalskih naložb Republike Slovenije Slovenski državni holding, d. d., opravlja tudi druge dejavnosti in storitve, s katerimi vpliva na slovensko gospodarstvo. Delovanje in organizacijo Slovenskega državnega holdinga, d. d., podrobneje ureja Zakon o Slovenskem državnem holdingu (ZSDH-1), ki predpisuje tudi dvotirni sistem upravljanja, sestavljen iz uprave in nadzornega sveta. Magistrska naloga se deli na tri dele. V prvem delu se predstavi in uvrsti investicijske sklade in družbe za upravljanje v finančni sistem. Za lažjo predstavitev in uvrstitev se obravnavano primerja tudi s pomočjo pravnih aktov, kot so direktive in ZGD-1. Drugi del se osredotoča na predstavitev korporativnega upravljanja družb za upravljanje in Slovenskega državnega holdinga, d. d. Pri tem se korporativno upravljanje obeh družb podrobno obravnava in primerja s splošno ureditvijo upravljanja, določeno z določbami zakona ZGD-1. Tretji del pa se osredotoča na primerjavo elementov korporativnega upravljanja obravnavanih družb. Korporativno upravljanje je zelo široko področje, zato se v drugem in tretjem delu magistrske naloge osredotoča predvsem na pravno ureditev sistemov upravljanja in upravljalnih organov, kot sta uprava in nadzorni svet. Pri tem se, poleg primerjave zakonskih aktov, k obravnavi uvršča tudi druge pravne akte, kot so kodeksi, politike in pravilniki. V zadnjem delu magistrske naloge se ugotavlja, da je primerjava obravnavanih družb smiselna. Ugotovitve se nanašajo predvsem na pomen in vpliv določb zakona ZGD-1. Ta zakon predstavlja podlago tako za specialne zakone, namenjene organizaciji in poslovanju obravnavanih družb, kot tudi za ureditev drugih področij korporativnega upravljanja. Izpostavlja pa se tudi določene razlike, ki se odražajo v opredelitvi in organizacij področij, prilagojenih naravi obravnavanih družb (npr.: organizacija posvetovalnih organov in pooblaščenih oseb).

Title:Comparison of the corporate governance of the management company and Slovenian Sovereign Holding
Abstract:The central topic of this master's thesis is the comparison between the governance of the Slovenian Sovereign Holding and the governance of management companies that perform foreign asset management activities. A management company is a legal person, the primary activity of whom is investment fund management. There are five management companies currently registered in the Republic of Slovenia. In addition to investment fund management, they also provide other financial services. Their status and legal characteristics and governance are regulated by the Investment Funds and Management Companies Act, providing for the two-tier governance system comprising the administration and supervisory board. The Slovenian Sovereign Holding is the overall manager of state capital investments into several companies. Through these, it influences and integrates into different industries, such as energy, tourism and transport. In addition to managing capital investment of the Republic of Slovenia, the Slovenian Sovereign Holding provides other activities and services that have an impact on the Slovenian economy. The operation and organisation of the Slovenian Sovereign Holding are regulated in detail by the Slovenian Sovereign Holding Act, which also provides for the two-tier governance system comprising the administration and supervisory board. This master's thesis comprises three parts. The first part presents and classifies investment funds and management companies within the financial system. For the purposes of easier presentation and classification, the elements studied are discussed based on legal acts, such as directives and the Companies Act. The second part presents corporate governance of management companies and the Slovenian Sovereign Holding. Corporate governance of both is detailed and compared on the basis of the general governance arrangement set out in new dispositions of the Companies Act. The third part compares the elements of corporate governance of the studied companies. Corporate governance is a very broad area, which is why the second and third parts of the master's thesis focus mainly on the legal arrangement of governance systems and governing bodies, such as the administration and the supervisory board. In addition to comparing legal acts, other legal acts, such as codes, policies and regulations, are also studied. The last part of the master's thesis determines that the comparison of the studied companies is reasonable. Our conclusions mainly relate to the importance and impact of the dispositions of the Companies Act. This act provides legal basis both for specific laws intended for the organisation and business of the studied companies and the arrangement of other areas of corporate governance. Certain differences that come to the forefront in the determination and organisation of areas adjusted to the nature of the studied companies (e.g. organisation of advisory bodies and authorised persons) are highlighted.
