Title:Kolizijska pravila v konkurenčnopravnih sporih - problem neopredeljenosti pojmov v uredbi Rim II

Abstract:Rim II ne definira pojmov nelojalne konkurence in ravnanj, ki omejujejo svobodno konkurenco, četudi se pravila glede določitve merodajnega prava v konkurenčnopravnih sporih nanašajo na ta dva pojma. Poleg omenjenih, določitev ustreznega prava v konkurenčnopravnih sporih otežujejo še nekateri drugi pomensko odprti pojmi, denimo (upoštevni) trg, škoda in kraj nastopa škodne posledice kot eni najpomembnejših. Ob tem se postavlja vprašanje, kako se sploh lotiti določitve ustreznega merodajnega prava, saj je odločitev v prvi fazi odvisna od tega, ali spor izvira iz pogodbene ali nepogodbene obveznosti. V nekaterih primerih tožba temelji tako na pogodbenih kot nepogodbenih elementih, zaradi česar je izbira prava še toliko bolj problematična. To magistrsko delo naslavlja problematiko kolizijskih pravil v konkurenčnopravnih sporih, pri čemer se osredotoča na definicijo trga in ostale pomensko odprte formulacije, saj je njihova opredelitev ključna za presojo, katere določbe v konkretnem primeru uporabiti. Tudi od tega je namreč odvisna pravna varnost udeležencev na trgu. Ugotoviti je, da Sodišče Evropske unije skuša z avtonomno razlago kazuistično razložiti vsebino pojmov in tako oblikovati poenotena pravila, ki jih lahko nacionalna sodišča uporabijo pri reševanju primerov. Razlaga SEU ni ostala povsem brez praznin, zato so naposled nacionalna sodišča vendarle tista, ki to razlago dopolnijo s svojo lastno, kar posledično nedvomno pomeni različne rezultate postopkov v različnih državah.

Title:Conflict of laws in competition law disputes - problem of unspecified concepts in Rome II regulation
Abstract:Even though the provisions determining the applicable law in competition law disputes address unfair competition and restriction of free competition, Rome II does not define these two terms. In addition, some other semantically open concepts, such as the (relevant) market, the damage and the place of the occurrence of the damage, are making the choice of law in competition law disputes even more complicated. This raises the question of how to choose the relevant applicable law since the choice depends on whether a dispute arises from a contractual or non-contractual obligation in the first place. In some instances, a case is based on both contractual and non-contractual elements, which makes the choice of law even more problematic. This thesis addresses the conflict of laws in competition law disputes, focusing on market definition and some other semantically open formulations, since their definition is crucial when choosing the applicable law in a particular case. The basic requirement of legal certainty is a precise delineation and clear formulation of norms. It is found that the European Court of Justice attempts to autonomously interpret the aforementioned concepts in order to formulate uniform rules that can be applied by national courts when ruling on cases. However, the interpretation of the CJEU has not completely filled in the lacuna, and to that end, national courts are to complement that interpretation, which undoubtedly leads to different results of proceedings in different countries.
