Title:PODPORNO OKOLJE ZA MALA IN SREDNJE VELIKA PODJETJA PRI REŠEVANJU NASLEDSTVA S POUDARKOM NA DRUŽINSKIH PODJETJIH

Abstract:V Sloveniji, kakor tudi drugod po svetu, prevladujejo mikro, mala in srednje velika podjetja, ki predstavljajo pomemben vir delovnih mest in ekonomskega razvoja. Čeprav ni enotne definicije za družinsko podjetje, je po raziskavah več kot 70% malih in srednje velikih podjetij tudi družinskih. V Sloveniji prevladujejo družinska mala in srednje velika podjetja, ki so v lasti ustanoviteljske generacije in se bodo v prihodnosti morala soočiti z nasledstvenimi vprašanji. Prehod podjetja iz ene generacije v drugo je lahko zelo čustveno obarvan in predstavlja eno izmed večjih težav, saj po nekaterih podatkih le 30% podjetij preživi prehod v drugo generacijo. Uspešen prenos podjetja je odvisen od mnogih dejavnikov, kot so: večletne priprave na nasledstvo, izdelava nasledstvenega plana, iskanje in uvajanja primernega naslednika, prenos vodstva in lastništva, itd. Zanimalo nas je, ali v Sloveniji obstajajo podporne institucije, ki nudijo podjetnikom strokovno pomoč pri reševanju nasledstva in kakšna je njihova prepoznavnost med podjetniki. Magistrska naloga je glede na metodologijo razdeljena na dva dela, in sicer na teoretični in praktični del. V teoretičnem delu smo najprej opredelili definicije malih in srednje velikih podjetij (v nadaljevanju MSP) v Sloveniji in Evropski uniji ter prikazali njihov pomen za gospodarstvo. Kot posebno vrsto MSP smo izpostavili družinska podjetja. Predstavili smo možne definicije družinskega podjetja in potrebo po enotni definiciji. Vsako družinsko podjetje ima tudi svoje prednosti in slabosti. Ena izmed slabosti družinskega podjetja je nasledstvo, ki smo ga podrobneje preučili. Opredelili smo nasledstvene možnosti ter proučevali dejavnike, ki pozitivno in negativno vplivajo na proces nasledstva. Analizirali smo podporno okolje MSP pri reševanju nasledstva. Preučili smo, kako je to področje urejeno v svetu, predvsem v ZDA in Evropski uniji. Za Slovenijo smo preverili, katere državne agencije ter raziskovalni in svetovalni inštituti v okviru fakultet in univerz nudijo podjetjem strokovno pomoč pri prenosu podjetja na naslednjo generacijo. V praktičnem delu smo izvedli raziskavo med 40 podjetniki malih in srednje velikih podjetij s sedežem v Sloveniji. V raziskavi smo s pomočjo anketnega vprašalnika ugotovili, da veliko podjetnikov v prihodnosti namerava prenesti vodstvo in/ali lastništvo podjetja na svoje potomce, predvsem zaradi upokojitve. Skoraj polovica podjetnikov predvideva, da bo v roku dveh let izvedla prenos lastništva in vodstva, in nato postopoma zmanjševala prisotnost v podjetju. Le 55% podjetnikov pozna kakšno institucijo, ki nudi pomoč pri nasledstvu podjetja. Najbolje sta prepoznani Obrtno-podjetniška zbornica in Gospodarska zbornica Slovenije, saj je veliko podjetnikov tudi njihovih članov. Dve tretjini podjetnikov meni, da bi potrebovali strokovno pomoč, predvsem z davčnega in pravnega vidika, vendar se jih je zelo malo odločilo za pomoč s strani strokovnjaka.

Title:Business transfer support environment for small and medium sized enterprises with emphasis on family enterprises
Abstract:Small and medium sized enterprises (SME) dominate enterprise population in Slovenia, so as they do elsewhere in the world. They are of great importance for the economy as they account for a substantial share in total national employment, value added and gross national product. There is no common definition of a family firm, but numerous studies indicate, that they constitute more than a 70% share of SME population. Family SME´s in Slovenia are dominantly owned by a founding generation. They are going to face a challenge of business transfer and succession to a new generation, which may be very emotional for the involved and a major source of business liquidation: according to some studies only 30% of all family firms are successfully transferred. Critical for successful transfer are: thorough business transfer planning, appointment and preparation of the business successor, actual ownership and business management transfer. The research objective of the master’s thesis is to learn about business transfer support institutions and investigate how well they are recognized among Slovenian family businesses. Methodologically, the work is divided into theoretical and empirical part. Theoretical part consists of analyzing SME landscape in Slovenia and evaluating their contribution to Slovenian economy. A family firm is defined as a special type of SME. We present and elaborate on different family firm definitions. A family business, as a type of business, has its advantages as well as disadvantages. One of the disadvantages of the family business is the need of its transfer. We analyze family business transfer issues in detail, identify business transfer options and issues affecting business transfer success. We analyze business transfer environment in European Union, United States of America and Slovenia. We investigate which national agencies, research and business advice institutions within universities offer business transfer expert support. Empirical part consists of empirical analysis, conducted with a survey questionnaire addressed to family business owners domiciled in Slovenia. Survey indicates that a major share of the business owners is planning to transfer management and/or ownership to a successor generation. Retirement is most frequently cited reason for succession planning. Nearly half of the survey participators foresee management and/or ownership transfer over the next two year’s horizon, afterwards they aim to reduce their presence in the company. Only 55% of survey participators recognize at least one of the Slovenian business transfer support institutions. Best recognition rate achieve Obrtno-podjetniška zbornica Slovenije (Chamber of Craft and Small Business of Slovenia) and Gospodarska zbornica Slovenije (Chamber of Commerce and Industry of Slovenia). Two thirds of the business owners report they need expert service support, foremost tax and legal advice, but a share of those who actually hired these help is low.
