Title:Dejavniki uspešnosti prevzemov

Abstract:Prevzemi med podjetji so v poslovnem svetu vsakodneven pojav. Razlogi za to se v večini primerov skrivajo v želji doseganja višjih stopenj rasti ter povečevanja dobičkonosnosti. Vendar pa prevzem drugega podjetja zdaleč ne zagotavlja, da bodo cilji doseženi. Več kot polovica prevzemov namreč ne doseže zastavljenih ciljev vodstva ter lastnikov. Na uspešnost prevzemov vplivajo različni dejavniki, ki so obravnavani v tej nalogi. Le-ti so razvrščeni glede na faze prevzema, v katerih se pojavljajo – predprevzemna faza, faza prevzema, ter poprevzemna integracija. V predprevzemni fazi sodijo med najpomembnejše dejavnike uspešnega prevzema oblikovanje prevzemnega tima, analiza okolja, določitev motivov za prevzem, iskanje proučevanje in izbira ciljnega podjetja, izvedba skrbnega pregleda podjetja, njegovo vrednotenje ter načrtovanje sinergij. V fazi prevzema izstopajo dejavniki pogajanj z obstoječimi lastniki, določitev kupnine in financiranje prevzema. V fazi, ki je s stališča uspešnosti prevzema najbolj kritična, to je fazi poprevzemne integracije, pa so izpostavljeni dejavniki integracije poslovnih funkcij, določanja kulture podjetja, integracije blagovnih znamk ter izdelkov in storitev in izkoriščanja priložnosti za rast. Teorija o posameznem dejavniku je na koncu dopolnjena še s prirejenimi podatki, iz primera prevzema podjetja »X«. V zadnjem poglavju je opravljena tudi analiza dejavnikov, ki vplivajo na uspešnost prevzema.

Title:SUCCESS PARAMETERS OF M&A
Abstract:Nowadays, acquisitions between companies are a common occurrence. In most cases the reason for this is in the desire for achieving higher growth rates and increasing the profitability. However, the takeover of another company still does not assure that the objectives will be achieved. More than a half of all the acquisitions do not achieve the objectives of management and owners. The success of takeovers is influenced by different parameters that are considered in this diploma. This parameters are arranged considering the phases of the takeover where they appear – the premerger activities, takeover and post-merger integration. In the premerger phase of the takeover among the most important parameters are forming a takeover team, an analysis of the environment, determining the motives of take over, search, study and selection of the target company, conducting due diligence, evaluating of the company and planning synergies. In the phase of takeover parameters like negotiations with owners, determining the purchase price and financing of the acquisition appear. The most critical stage for the success of the takeover is the post-merger integration where parameters of integration of business functions, setting the culture of integration, the integration of brands, products and services, and exploiting the growth opportunities are exposed. The parameter’s theory is at the end completed with arranged data from the case of taking over the company “X”. In the final chapter, an analysis of success parameters has been made.
