Title:Neposredno izvršljiv notarski zapis po slovenskem in evropskem pravu ter sodna praksa : magistrsko delo

Abstract:Neposredno izvršljiv notarski zapis je javna listina, ki jo sestavi pooblaščena oseba (notar) in dokazuje resničnost tistega, kar je v njej zapisano. Stranki se lahko že v naprej dogovorita , da bo pogodba neposredno izvršljiva, ki jo skleneta v obliki izvršljivega notarskega zapisa. Ko so izpolnjeni zakonski pogoji, ni potrebno najprej vlagati tožbe, čakati na pravnomočno sodbo in šele na podlagi tega predlagati izvršilni postopek. Upnik lahko takoj zahteva izvršbo, kar pomeni, da lahko pride do poplačila svoje terjatve hitreje in tudi ugodneje. Z globalizacijo pa so se razširili tudi čezmejni ali mednarodni pravni posli, kar je pokazalo potrebo po ureditvi izvršilnega postopka, ki bi bil hiter in enoten. Države članice so poskušale vzpostaviti poenostavljene postopke za izvršbo terjatev, ampak se vsebina nacionalnih zakonodaj tako kot tudi učinkovitost domačih postopkov močno razlikujejo. Poleg tega pa so tudi izvršilni postopki v čezmejnih zadevah pogosto nedopustni ali celo neizvedljivi. Evropski nalog za izvršbo oziroma evropski izvršilni naslov uvaja unificirana pravila za čezmejno izvršbo na podlagi tujih odločb in prispeva k izboljšanju razumevanja ureditev izvršbe v Evropski Uniji (v nadaljevanju: EU). Uredba o uvedbi evropskega naloga za izvršbo nespornih zahtevkov (v nadaljevanju: UEIN) zagotavlja hitro in učinkovito izvršbo neporavnanih, a nespornih terjatev, kar je pa tudi bistvenega pomena za gospodarske subjekte v EU, saj zamude pri plačilih ogrožajo plačilno sposobnost podjetij. Razlike med nacionalnimi sistemi tako povzročajo tudi izkrivljanje konkurence, zaradi ovir za dostop do učinkovitega pravnega varstva v čezmejnih zadevah in neenakih procesni sredstev, ki so na voljo upnikom v različnih državah članicah. Zato je potrebna enotna zakonodaja na tem področju, ki omogoča enake pogoje za upnike in dolžnike po vsej EU. V magistrski nalogi obravnavam neposredno izvršljiv notarski zapis po pravu Republike Slovenije (v nadaljevanju: RS) in po pravu EU s poudarkom na Uredbi Evropskega parlamenta in Sveta (ES) št. 805/2004 z dne 21. aprila 2004 o uvedbi evropskega naloga za izvršbo nespornih zahtevkov.

Title:Directly enforceable notarial deed under slovenian and european law and case law
Abstract:A directly enforceable notarial deed is a public document compiled by an authorized person (notary) and proves the truth of what is written in it. The parties can agree in advance, that the contract will be directly enforceable, concluding it in the form of an enforceable notarial deed. After the fulfilled of the legal requirements, it is not necessary to file a lawsuit first, then wait for the final judgement to propose enforcement proceedings according to it. The creditor may immediately apply for enforcement, which means that the repayment of debts can be faster and also more favorable. However, with globalization, cross-border or international legal transactions have also grown, which has shown the need to regulate the enforcement proceeding, in a way that it would be fast and unified. Member States have tried to enforce simplified proceedings, but the content of national law orders and the effectiveness of domestic proceedings differentiate. In addition, enforcement proceedings in cross-border cases are often inadmissible or even impracticable. The European Enforcement Order (EEO) introduces unified regulations for cross-border enforcement proceedings based on foreign decisions and contributes to improving the understanding of enforcement proceedings in the European Union (EU). EEO ensures a quick and efficient execution of unsettled but uncontested debts, which are also essential for EU economic subjects as late payments can jeopardize the solvency of companies. Differences between national systems also lead to distortions of competition due to barriers in accessing effective legal protection in cross-border cases and the unequal procedural means available to creditors in different Member States. Therefore, a unified legislation is needed in this field, which allows equal conditions for creditors and debtors across the EU. In my Master's thesis I deal with a directly enforceable notarial deed under the law of the Republic of Slovenia (RS) and under the law of the EU with an emphasis on Council Regulation (EC) No 805/2004 (of the European Parliament and of the Council) of 21 April 2004 creating a European Enforcement Order for uncontested claims (REEO).
