Title:Postopek preventivnega prestrukturiranja

Abstract:Postopek preventivnega prestrukturiranja je sodni postopek, ki ga ureja Zakon o finančnem poslovanju, postopkih zaradi insolventnosti in prisilnem prenehanju (ZFPPIPP). Postopek se vodi z namenom, da se dolžniku, za katerega je verjetno, da bo v obdobju enega leta postal insolventen, omogoči, da na podlagi sporazuma o finančnem prestrukturiranju izvede ustrezne ukrepe prestrukturiranja svojih finančnih obveznosti in druge ukrepe finančnega prestrukturiranja, ki so potrebni za odpravo vzrokov, zaradi katerih bi dolžnik lahko postal insolventen. Domneva se, da obstaja verjetnost za obstoj insolventnosti, če z začetkom postopka soglašajo upniki, ki skupaj dosegajo najmanj trideset odstotkov vseh finančnih terjatev do dolžnika. Magistrsko delo podrobno predstavlja postopek preventivnega prestrukturiranje s pomočjo in na podlagi zakonskih določb ZFPPIPP, sodne prakse, sporazuma o finančnem prestrukturiranju, Slovenskih načel prestrukturiranja dolgov v gospodarstvu in predstavitev ureditve postopka preventivnega prestrukturiranja na ravni Evropske unije, prav tako pa vključuje primerjavo z ureditvami držav članic, zunajsodnim prestrukturiranjem in prisilno poravnavo. Magistrsko delo je napisano tako, da bralcu na razumljiv in sistematičen način predstavlja obravnavano tematiko postopka preventivnega prestrukturiranja.

Title:Preventive restructuring proceeding
Abstract:Preventive restructuring proceeding is a legal proceeding, governed by Financial Operations, Insolvency Proceedings and Compulsory Winding-up Act (ZFPPIPP). The proceeding aims to enable the debtor, who is probable to become insolvent within a period of one year, to carry out suitable financial restructuring measures in order to eliminate possible causes of insolvency. Such measures are carried out on the basis of a financial restructuring agreement. It is presumed that there is a likelihood of insolvency when the creditors who jointly hold at least 30% of all financial claims against the debtor, agree to the start of the proceeding. The thesis presents a detail breakdown of the preventive restructuring procedure as governed by ZFPPIPP, related case-law, financial restructuring agreement, and debt restructuring principles in Slovenian economy, as well as an overview of preventive restructuring proceedings on the EU-level. Additionally, the thesis includes a comparison of regulations in Member States, extrajudicial restructuring, and compulsory settlement. The thesis aims to present the area of preventive restructuring proceeding in an understandable and systematic way.
