Title:Priznavanje čezmejnih učinkov v insolvenčnih postopkih

Abstract:Globalizacija v zadnjih desetletjih in razcvet mednarodne trgovine sta vzpodbudila čezmejno poslovanje tako pri gospodarskih subjektih kot tudi pri potrošnikih, ki v tujini iščejo nove poslovne in življenjske priložnosti. Vstopanje le-teh v pravna razmerja z mednarodnim elementom pa odpira vrsto vprašanj v primeru, da se nad katerim izmed njih začne insolvenčni postopek. Bistveno vprašanje za dolžnika kot tudi za njegove upnike je, kakšne pravne učinke bo imel začeti insolvenčni postopek na njihova obstoječa pravna razmerja. V okviru mednarodnega insolvenčnega prava se zato v zadnjih desetletjih poskuša najti odgovore in rešitve na omenjena vprašanja. Kot bo predstavljeno v tej magistrski nalogi, o poenotenju insolvenčnega prava zaradi zelo različnih nacionalnih ureditev (še) ni mogoče govoriti, zato se nacionalne in mednarodne ureditve osredotočajo predvsem na harmonizacijo temeljnih pravil mednarodnega insolvenčnega prava, in sicer glede določitve mednarodne pristojnosti za začetek insolvenčnega postopka, pravo katere države naj se uporabi za presojo določenih procesnopravnih in materialnopravnih vprašanj, kakšni mednarodni učinki bodo obveljali za postopke, ki bodo začeti pred določenim sodiščem (predvsem glede pogojev za priznanje odločb v insolvenčnih postopkih, izdanih v drugih državah, ali odločitev, ki zadevajo osebo ali premoženje v konkretnem insolvenčnem postopku) in kakšne so dopustne meje čezmejnega sodelovanja med akterji insolvenčnih postopkov. Temeljita analiza treh za Slovenijo najpomembnejših pravnih aktov na področju mednarodnega insolvenčnega prava - Uredbe 2015/848, UNCITRAL-ovega Vzorčnega zakona in 8. poglavja ZFPPIPP, kar je predmet te magistrske naloge, bo pokazala, da le uredba ureja vsa zgoraj omenjena temeljna vprašanja mednarodnega insolvenčnega prava in tako predstavlja najvišjo stopnjo harmonizacije nacionalnih zakonodaj na tem področju. Za razliko od uredbe vzorčni zakon ureja le priznanje tujega insolvenčnega postopka in obvezno sodelovanje med akterji insolvenčnih postopkov, kar je odraz njegove pravne narave in globalne uporabe. 8. poglavje ZFPPIPP, ki je bilo sprejeto na podlagi vzorčnega zakona, pa je po njegovem vzoru uredilo priznanje tujega insolvenčnega postopka in obvezno sodelovanje med akterji insolvenčnih postopkov, dodatno pa tudi področje uporabe prava, kar se sicer vzorčnemu zakonu očita kot njegova največja pomanjkljivost. Kljub različnemu obsegu ureditev, ki jo ponujajo omenjeni trije pravni akti, pa vsi urejajo področje priznanja tujega insolvenčnega postopka, kar je bistveno za priznavanje čezmejnih učinkov v insolvenčnih postopkih. Vsi trije pravni akti nedvomno pomenijo velik korak k harmonizaciji mednarodnega insolvenčnega prava in bistveno prispevajo k uspešnemu in učinkovitemu reševanju čezmejnih insolvenčnih postopkov. Zagotavljajo mednarodne pravne standarde za delovanje vseh akterjev v čezmejnih insolvenčnih postopkih, s tem pa tudi večjo pravno varnost vseh vpletenih na tem področju. Kljub temu je v praksi ostalo odprtih kar nekaj vprašanj, zato so nekatere dopolnitve in izboljšave v prihodnosti obravnavane v sklepnem delu.

Title:Recognition of cross-border effects in insolvency proceedings
Abstract:Globalization in last ten decades and expansion of international trade has been the main cause for cross-border business activities of companies and consumers who are looking abroad for new business and life opportunities. Their entering into legal relations with an international element opens a lot of issues in cases when one of them is a subject of an insolvency proceedings. The main issue for a debtor and his creditors is what kind of legal effects the commencement of the insolvency proceedings will have on their present legal relations. Consequently in last ten decades international insolvency law is searching for answers and solutions to those questions. As will be presented in this master’s paper talking about a unification of insolvency law is not (yet) possible due to different national systems. That is why national and international regulations are focusing on harmonization of fundamental rules of international insolvency law regarding a designation of international jurisdiction for a commencement of the insolvency proceedings, the law of which state should apply regarding questions about procedural and substantive matters, what international effects should be in place for procedures commenced before a designated court (especially regarding conditions for recognition of decisions issued in foreign insolvency proceedings, or decisions regarding a person or an estate in particular insolvency proceedings) and what are the admissible limits of cross-border cooperation between actors of insolvency proceedings. Thorough analysis of the tree for Slovenia most important legal acts in the field of international insolvency law – Regulation 2015/848, UNCITRAL Model law and Chapter 8 of Slovenian insolvency law act (ZFPPIPP), that are the subject of this master’s paper, shall reflect that the Regulation is providing answers to all above mentioned fundamental issues of international insolvency law and represents the highest level of harmonization of national laws in the field concerned. In contrast to the Regulation Model law regulates only recognition of foreign insolvency proceedings and mandatory cooperation between actors of insolvency proceedings what is reflection of his legal nature and global applicability. Chapter 8 of Slovenian insolvency law act (ZFPPIPP) that was adopted based on the Model law regulates as Model law recognition of foreign insolvency proceedings and mandatory cooperation between actors of insolvency proceedings and additionally also the scope of application of law, what is concerned as the main deficiency of the Model law. Despite of different scope of regulations that are provided by aforementioned tree legal acts all of them regulate the scope of recognition of foreign insolvency proceedings what is essential for the recognition of cross-border effects in insolvency proceedings. Unquestionable all tree legal acts constitute big step towards harmonization of international insolvency law and significantly contribute to effective and efficient cross-border insolvency proceedings management. Providing international legal standards for operation of all actors in cross-border insolvency proceedings and ensure greater legal certainty of all involved in this field. In practice some issues are still remaining open therefore certain modifications and improvements in the future are considerate in the concluding part of this paper.
