Title:ANALIZA REALIZACIJE PLAČIL V PRAVNOMOČNO ZAKLJUČENIH POSTOPKIH ZARADI INSOLVENTNOSTI V PRIMERJAVI Z NAČRTOVANIMI V NAČRTIH FINANČNEGA PRESTRUKTURIRANJA

Abstract:V praksi se žal vse prepogosto kaže, da slovenska insolvenčna zakonodaja družbi dolžnici omogoča, da več mesecev ali celo let prikriva insolventnost družbe in s tem lastnikom in upravi družbe omogoča, da jo ves ta čas neovirano izčrpavajo. Predlog za začetek postopka prisilne poravnave je tako žal postal instrument, ki ga uprava družbe dolžnice največkrat izkoristi šele v trenutku, ko se upniki odločijo zapadle terjatve izterjati v sodnih postopkih (z izvršbo) ali celo vložijo predlog za začetek stečaja, saj s tem doseže sprostitev blokiranih transakcijskih računov in hkrati zadrži obravnavo vseh predlogov za začetek stečaja. V nalogi smo obravnavali portfelj 11 konkretnih podjetij, zoper katera je bil uveden postopek prisilne poravnave in po postopku prisilne poravnave tudi stečajni postopek (22 konkretnih postopkov zaradi insolventnosti). Glavna področja obravnave so bila primerjava višine poplačila, ki je bila predvidena v postopku prisilne poravnave, z višino poplačila, ki je bila realizirana v postopku stečaja, primerjava vzrokov za neuspeh prisilne poravnave in »angažiranost« udeležencev postopka - predvsem upravitelja.

Title:ANALYSIS OF PAYMENT REALIZATION IN FINAL LEGALLY BINDING INSOLVENCY PROCEEDINGS BASED ON FINANCIAL RESTRUCTURING PLAN ASSESSMENT RECOVERABILITY
Abstract:Past experiences unfortunately all too often show that Slovenian insolvency legislation enables the debtor company to conceal the company’s insolvency for months and even years, thus enabling the owners and management of the company to deplete the company all this time without hindrance. The proposal for the initiation of the compulsory settlement proceedings has thus unfortunately become an instrument that the debtor company’s management mostly does not use until creditors decide to recover the amounts due in judicial proceedings (by execution) or even lodge a proposal for the initiation of bankruptcy, as this releases blocked current accounts and at the same time withholds the proceedings of all proposals for the initiation of bankruptcy. In the thesis, we have discussed a portfolio of 11 specific companies, subject to the procedure of compulsory settlement and later procedure of bankruptcy (22 specific procedures on grounds of insolvency). The main fields of discussion were a comparison of the amount of repayment expected in the proceeding of compulsory settlement and the amount of repayment realized in the proceeding of bankruptcy, and a comparison of reasons for the failure of compulsory settlement and “engagement” of the parties in the procedure - especially the manager.
