Title:Prenova slovenske insolvenčne zakonodaje z novelo ZFPPIPP-E s poudarkom na prisilni poravnavi - primerjava z ZDA, Nemčijo in Hrvaško

Abstract:Slovenija se je znašla v krizi, ki je povečala število postopkov zaradi insolventnosti. Pokazala se je potreba po noveliranju Zakona o finančnem poslovanju, postopkih zaradi insolventnosti in prisilnem prenehanju (ZFPPIPP) iz leta 2008, zato je nastala novela ZFPPIPP-E, ki bistveno vpliva na ohranitev zdravega dela gospodarstva, poenostavitev postopkov zaradi insolventnosti ter krepi vlogo upnikov. Z uvedbo novega instituta poenostavljene prisilne poravnave daje možnost manjšim in mikro podjetjem ter samostojnim podjetnikom za izvedbo prisilne poravnave, ki bo cenejša in hitrejša. Novela je v členu 1.a napovedala rešitve v zvezi s predinsolvenčnim postopkom, ki bi jih predstavili v povsem novem Zakonu o sistemski razdolžitvi. Gospodarstvo se s tovrstno rešitvijo ni strinjalo in je začelo opozarjati na potrebo po uporabniški prijaznosti, razumljivosti in berljivosti zakona. Zato so se pravni strokovnjaki in sodstvo odločili za vnovične spremembe v okviru obstoječe insolvenčne zakonodaje (ZFPPIPP-F). Bistvene spremembe, ki jih je novela prinesla so: postopek preventivnega prestrukturiranja, načelo absolutne prednosti, nova pravila za finančno prestrukturiranje velikih in srednjih družb ter črtanje praga zahtevanega poplačila.

Title:Renewal of the Slovenian Insolvency Law with the Latest Amendments of the Financial Operations, Insolvency Proceedings and Compulsory Dissolution Act (ZFPPIPP-E) with Emphasis on Compulsory Settlement – A Comparison of USA, Germany and Croatia
Abstract:Slovenia has found itself in a crisis, which increased the number of insolvency proceedings. This brought about a need for amending the 2008 Financial Operations, Insolvency Proceedings and Compulsory Dissolution Act (ZFPPIPP). The resulting amendment ZFPPIPP-E significantly affects the preservation of a healthy part of the economy, the simplification of insolvency procedures and strengthens the role of creditors. By introducing a new institution of simplified compulsory settlement it allows small- and micro-enterprises as well as sole proprietors to perform a cheaper and faster compulsory settlement. Article 1a of the amendment announced solutions regarding the pre-insolvency proceedings, which were to be presented in a completely new Systematic Deleveraging Act. Representatives of the economy did not agree with this solution and drew attention to the need for a user-friendly, comprehensible and transparent act. As a result, legal experts and the judiciary decided to re-amend the existing insolvency law (ZFPPIPP-F). Significant changes introduced by the latest amendments include: preventive restructuring proceedings, the principle of absolute advantage, new rules for the financial restructuring of large and medium-sized enterprises and the deletion of the required repayment threshold.
