Title:POT DISTRIBUCIJE BLAGA S POUDARKOM NA UPORABI KOMISIJSKE, POSREDNIŠKE ALI POGODBE O TRGOVSKEM ZASTOPANJU

Abstract:Tekom diplomskega seminarja smo se osredotočili na gospodarske pogodbe, namenjene distribuciji blaga. Ugotovili smo, da je posredovanje eden najstarejših trgovskih poslov, ki so ga poznali že v stari Grčiji in Rimu. Pri posredniški pogodbi se posrednik zaveže povezati komitenta po njegovem nalogu z drugimi osebami. Posredniška pogodba je neformalna pogodba, kar pomeni, da ni predpisana posebna oblika. Stranki se lahko dogovorita, da bo pogodba v pisni obliki. Ugotovili smo, da imata tako posrednik kot tudi naročitelj svoje pravice in obveznosti. Posrednik mora opravljati posredovanje kot dober gospodarstvenik, preveriti mora boniteto kupca, medtem ko mora naročitelj posredniku plačati provizijo. Pri komisijski pogodbi smo se osredotočili na pravna razmerja, ki nastanejo med komisionarjem, komitentom in tretjo osebo. Pri komisijski pogodbi se komisionar zavezuje, da v svojem imenu na račun komitenta opravi enega ali več poslov. Za ta posel tudi prejme provizijo. Pri komitentovih obveznostih smo opazili, da lahko komisionar posreduje komitentu različno stroga navodila, ki jih mora upoštevati, komitent pa mora, enako kot naročitelj, posredniku plačati provizijo. Zadnja izmed pogodb pa je pogodba o trgovskem zastopanju (agencijska pogodba), ki je namenjena za opravljanje več pravnih in drugih dejanj ter poteka med zastopnikom (agentom) in naročiteljem (principalom). Pri tej pogodbi je posebnost prenehanje razmerja, ki lahko preneha redno ali izredno. Pri rednem prenehanju je odvisno od tega, ali je pogodba sklenjena za nedoločen ali določen čas. Posebnosti pogodbe o trgovskem zastopanju sta tudi odpravnina (določen denarni znesek, ki ga lahko zastopnik uveljavlja ob prenehanju pogodbe) ter konkurenčna prepoved (preprečitev negativnega vpliva nasprotujočih si interesov).

Title:WAY OF THE DISTRIBUTION OF GOODS WITH AN EMPHASIS ON THE USE OF COMMISSION AGENCY, BROKERAGE OR COMMERCIAL AGENCY CONTRACT
Abstract:During our diploma seminar we focused on economic contracts intended to distribute various products. We came to a conclusion that distribution is one of the oldest ways to do commercial exchange and it has been known to ancient Greeks and Romans. When it comes to brokerage agency contract, the agent is bound to connect his or hers client with other persons involved in the business. The contract is informal and has no set form. The clients can therefore discuss the form of the contract which may as well be in written form. We also found out that the agent as well as the client; they both have their rights and duties. The agent must execute his job with a skill of a good and educated economist, meaning he must check the client’s background and make sure his earnings suffice. Meanwhile, the client must pay certain percentage to the agent. At commission agency contract we focused on legal relationships which are formed among commission agent, client and a third person. Here, the commission agent is bound to execute certain business on account of the client, for which he also gains a percentage of the profit. When it came to the client’s duties, we found out that the agent can give the client various instructions ant the client must take them into account. The commercial agency contract is intended for doing several legal actions and is signed between an agent (representative) and a client. Here, the relationship can be cancelled in any time – regularly or irregularly. With regular cancellation it also depends whether the contract was signed for a limited period of time or not. A special future of this contract is also the severance pay (certain sum of money paid to the agent if the contract is cancelled before the due time) and rivalry ban (to prevent the negative influence of contradictory interests).
