Abstract:Poenostavljena prisilna poravnava je institut, ki do pred kratkim v našem pravnem sistemu še ni obstajal. Ko je parlament, maja 2013, odločno sprejel predlog novega stečajnega zakona, se je to spremenilo. Pred tem Zakon o finančnem poslovanju, postopkih zaradi insolventnosti in prisilnem prenehanju instituta poenostavljene prisilne poravnave torej ni urejal. V našem pravnem sistemu je na področju insolvenčnega prava urejena prisilna poravnava, kot eden izmed dveh glavnih postopkov zaradi insolventnosti. Druga vrsta insolvenčnega postopka je stečajni postopek. Preden je stopil v veljavo Zakon o finančnem poslovanju, postopkih zaradi insolventnosti in prisilnem prenehanju, so insolvenčno področje urejali predvsem trije zakoni, in sicer: Zakon o prisilni poravnavi, stečaju in likvidaciji, Zakon o finančnem poslovanju podjetij in Zakon o gospodarskih družbah. Prav tako v nobenem izmed teh zakonov ni bil urejen institut poenostavljene prisilne poravnave. Vlada Republike Slovenije je že leta 2011 začela s pripravo Predloga Zakona o spremembah in dopolnitvah Zakona o finančnem poslovanju, postopkih zaradi insolventnosti in prisilnem prenehanju. Predlog je bil torej pred kratkim sprejet, kar pomeni, da smo dobili novelo Zakona o finančnem poslovanju, postopkih zaradi insolventnosti in prisilnem prenehanju. Novela uzakonja institut male oziroma poenostavljene prisilne poravnave, ki predstavlja veliko prednost za samostojne podjetnike in mikro podjetja ter rešitev na področju finančnega prestrukturiranja.

Title:REORGANIZATION
Abstract:Simplified compulsory debt settlement is an institution which in our legal system did not exist until recently. This fact changed in May 2013 when the Parliament decided that the Proposal of the new Insolvency Proceedings Act will become a part of our legislation. Before that the Insolvency Proceedings Act did not regulate an institution of simplified compulsory debt settlement. In our legal system the area of Insolvency Law regulates compulsory debt settlement as one of the main insolvency proceedings. The other one is bankruptcy. Before the Insolvency Proceedings Act was brought in, the area of insolvency was predominantly regulated by three laws: the Compulsory Dissolution, Bankruptcy and Liquidation Act, Financial Business Operations Act and the Companies Act. Furthermore, not one of the aforementioned Acts regulated the institution of simplified compulsory debt settlement. Already in 2011, the government of the Republic of Slovenia started preparing the Proposal of the Law on Changes and Amendments of the Insolvency Proceedings Act. The proposal which codifies the institution of small or simplified compulsory debt settlement is now accepted. Simplified compulsory debt settlement presents a large advantage for independent businessmen and micro businesses, as well as a solution in the area of financial reorganisation.
