Title:ROČNA ZASTAVNA PRAVICA NA PREMIČNINAH

Abstract:Ročna zastavna pravica na premičninah (pignus) je oblika zavarovanja terjatev, pri kateri je dodatno jamstvo za izpolnitev dolžnikove obveznosti vrednost zastavljene stvari. Bistvena značilnost ročne zastavne pravice na premičninah je njena posestnost. O posesti oziroma neposesti govorimo z vidika zastavnega upnika. Po vsebini je ročna zastavna pravica podobna pridržni (retencijski) pravici. Njen predmet je lahko vsaka premična stvar, ki je v pravnem prometu in ima neko prometno vrednost. Je strogo akcesorna pravica, zato lahko obstaja le v povezavi s terjatvijo, ki se z njo zavaruje. Lahko se ustanovi tudi v zavarovanje tujega dolga. Nastane lahko na podlagi pravnega posla, na podlagi zakona ali na podlagi odločbe državnega organa. Ker zastavna pravica ni izključujoče narave, lahko na isti premičnini hkrati obstaja več zastavnih pravic. Glede razmerja med njimi velja prednostno načelo. V času trajanja ročne zastavne pravice velja v razmerju med zastaviteljem in zastavnim upnikom vrsta medsebojnih pravic in obveznosti. Nekatere so kogentno določene v stvarnopravnem zakoniku, nekatere pa se lahko dogovorijo med strankama v zastavni pogodbi. Pri tem pa so nekateri dogovori prepovedani. Če zavarovana terjatev ob zapadlosti ni plačana, se lahko zastavni upnik poplača iz zastavljene stvari pred vsemi drugimi zastaviteljevimi upniki. Naše pravo pozna dva načina realizacije ročne zastave, in sicer sodno ter izvensodno prodajo. Za poseben način izvensodne uresničitve se šteje tudi komisorni dogovor. Ročna zastavna pravica preneha s prenehanjem zavarovane terjatve, z odstopom zavarovane terjatve brez zastavne pravice, z odrekom zastavni pravici, z združitvijo zastavitelja in zastavnega upnika v isti osebi, s prenehanjem predmeta zastavne pravice, z odsvojitvijo zastavljene stvari dobrovernemu tretjemu in v primeru prisilne prodaje zastavljene stvari.

Title:Possessory pledge of movable property
Abstract:Possessory pledge of movable property (pignus) is a form of securing claims where the additional guarantee that the debtor will fulfil his obligation is the value of the pledged property. The essential feature of possessory pledge of movable property is its possession. Possession or non-possession can be defined based on the viewpoint of the creditor. In terms of content, possessory pledge of movable property is similar to possessory lien. Its subject can be any movable property that can be used in a legal transaction and has a certain value as such. It is a strictly accessory right, which means it can only exist in connection with the claim that it is secured against. It can also be established for the purpose of securing a third party’s debt. It can occur based on a legal transaction, a law or a decision made by a state authority. Since the lien is not exclusive, the same movable property can be subject to more than one lien, and the priority principle applies. In the duration of the possessory pledge of movable property there are a number of mutual rights and obligations between the lienee and the lienor. Some are mandatory according to the Law of Property Code, and some are negotiable between the parties in the lien contract. However, some agreements are not allowed. If the secured claim remains unpaid after the due date, the lienor may be paid from the pledged property before all other lienee’s creditors. Our law knows two manners of realisation of pignus – in court and out of court. A special type of out-of-court settlement is also lex commissoria. Pignus is terminated if the secured claim is terminated, if the secured claim is abandoned without lien, if the lien is waivered, if the lienee and lienor are merged into the same person, if the subject of lien is terminated, if the pledged property is disposed of to a bona fide third person and in case of a forced sale of pledged property.
