Abstract:Konvencija Združenih narodov o pogodbah o mednarodni prodaji blaga (CISG), t.i. Dunajska konvencija, je bila sprejeta 11. aprila 1980 na diplomatski konferenci, ki jo je na Dunaju sklicala Organizacija združenih narodov (OZN). Konvencija vzpostavlja celovito zbirko pravnih pravil v zvezi s sklepanjem mednarodnih prodajnih pogodb, opredelitvijo obveznosti kupcev in prodajalcev ter drugih vidikov pogodb. Če imajo stranke mednarodnega poslovnega razmerja ali samo ena od njih sedež v državi, ki je podpisala CISG, se bo ta konvencija uporabila. CISG velja za gospodarske pogodbe, zato je stopnja aktivnosti, ki se zahteva od posameznih strank višja od običajnih civilno-pravnih ureditev. Posledično to pomeni zahtevo po večji skrbnosti pri izvrševanju pravic in obveznosti iz pogodbenega razmerja. S tem je položaj pogodbenih strank sicer težji, vendar ščiti potrebe gospodarskega poslovanja. Po CISG so obveznosti prodajalca dobava blaga, izročitev listin in prenos lastninske pravice na blagu, ki je predmet prodajne pogodbe. Kupec je zavezan k plačilu kupnine in prevzemu blaga. Kršitev katerekoli obveznosti je treba obravnavati kot kršitev obveznosti strank iz prodajne pogodbe. CISG temelji na enotnem sistemu sankcij, po katerem se jamčevalne in neizpolnitvene sankcije ne ločijo. Značilno je, da se bistvene kršitve pogodbe razlikujejo od nebistvenih, kar pogojuje različne sankcije. V primeru bistvenih kršitev je, pogodbi zvesti stranki, na voljo širši instrumentarij sankcij, pred vsem odstop od pogodbe. CISG v 45. členu opredeljuje pravice, ki jih ima kupec v primeru kršitve obveznosti iz pogodbe s strani prodajalca. Sklicuje se na seznam pravic, ki so opredeljene v členih od 46 do 52, ob tem pa posebej poudarja kumulacijsko naravo omenjenih sredstev z odškodnino, ki jo lahko kupec vedno zahteva skupaj z drugim zahtevkom, predvsem skupaj z odstopom od pogodbe.

Title:REMEDIES OF THE BUYER UNDER THE VIENNA CONVENTION (CISG) IN CASES OF NON-PERFORMANCE BY THE SELLER
Abstract:The United Nations Convention on Contracts for the International Sale of Goods (CISG), also known as Vienna Convention was adopted on 11 April 1980 at the Diplomatic Conference, which was convened in Vienna by United Nations (UN). This Convention establishes a set of legal rules regarding international contracts of sale. CISG governs its formation and the rights and obligations of the seller and the buyer arising from such a contract, when their places of business are in different States and the States are Contracting States. Obligations of the seller under CISG are: delivery of the goods, handing over any documents relating to them and transfer the property in the goods, as required by the contract. The buyer on the other hand is liable for paying the price for the goods and take delivery of them as required by the contract and CISG. Failure to perform of any of the obligations should be treated as a breach of contract. CISG is influenced by the common law system, which differs between two basic contractual obligations, namely conditions and warranties. The usability of different legal remedies depends on whether a specific breach of contract can be interpreted as fundamental. This may lead to avoidance of the contract. Article 45 of the Vienna Convention defines the remedies of the buyer in case of breach of contract by the seller. It refers to the list of rights that are set out in Articles 46 to 52, while emphasizes cumulating of the aforementioned remedies with damages, which the customer may exercise with other remedies, especially with the avoidance.
