Title:NOVOSTI INSOLVENČNE ZAKONODAJE

Abstract:Diplomsko delo obravnava novo pravno ureditev na področju insolvenčnih postopkov, Zakon o finančnem poslovanju, postopkih zaradi insolventnosti in prisilnem prenehanju. Namen diplomskega dela je prikazati pomembne novosti ter spremembe, ki so nastopile s sprejetjem Zakona. Posebno pozornost smo namenili uvedbi dveh novih institutov v naš pravni red, osebni stečaj in stečaj zapuščine, ter predstavili razlike v postopku prisilne poravnave v primerjavi s prejšnjo zakonodajo. Uvodoma povzemamo razloge za sprejetje nove zakonodaje in navajamo bistvene lastnosti zakona, prav tako pa izpostavljamo ključne pojme, ki so prisotni v vsebini zakona. Nekaj strani je namenjenih tudi poglavju finančnega poslovanja podjetij in drugih pravnih oseb. To poglavje je bilo prej urejeno v Zakonu o finančnem poslovanju podjetij in je povzročalo veliko nejasnosti ter bilo večkrat v presoji ustavnega sodišča. Sedaj so vsebine bolj jasne in tudi kar nekaj je sprememb na področju odgovornosti organov vodenja in nadzora. Drugi del naloge smo namenili vsebinam o prisilni poravnavi, izpostavili predvsem tiste dele, ki so po prejšnjem zakonu predstavljali zlorabo procesnih pravic in na koncu poglavja strnili glavne razlike v primerjavi s prejšnjo zakonodajo. Zadnji del diplomske naloge nazorno prikazuje na novo uveden institut osebnega stečaja v naš pravni red. Opisali smo celoten postopek osebnega stečaja, prikazali pomanjkljivosti in pasti tako za dolžnika kot tudi za upnike. Primerjali smo tudi postopke v drugih državah in ugotovili, da bi lahko nekatere zadeve bile rešene drugače in enostavneje. Prikazali smo tudi osebni stečaj samostojnega podjetnika posameznika, ki je odprl kar nekaj vprašanj in na konci navedli še števila postopkov osebnega stečaja.

Title:NOVELTIES OF THE INSOLVENCY LAW
Abstract:The diploma project deals with new regulation on the insolvency procedures so called, Financial Operations, Insolvency Proceedings and Compulsory Dissolution Act. The purpose of the thesis is to show the basic novelties and modifications that occurred with the law adoption. Particular attention was paid to the new adopted institution into our legislation, personal bankruptcy, and we have also illustrated some basic differences in the compulsory settlement in comparison with the former act. In the introduction we briefly summarize the reasons for adopting the law and showing the basic characteristics. Moreover, we point out the key meanings that are found in the act contents. Few pages are dedicated to the chapter of the financial operations in companies and legal entities. This field was previous regulated in the former Financial operation and other legal entities act, that caused many vagueness and was also in findings of the Constitutional Court. Now the contents are clearer and there have also been made some changes regarding the responsibility of the management and supervision boards. Second part of the project we address to the compulsory settlement, especially the parts where came to the abuse of the procedural rights in the past. At the end of the chapter we summarize the main differences in comparison with the former act. In the last part of our work we describe the personal bankruptcy institution with all the disadvantages and threats for both the debtor and creditor. We have also compared the proceedings in other countries and came to conclusion that some subjects could be done different and better.
