Business and human rights : implementing the United Nations guiding principles on business and human rights in Slovenia

Opis: Business enterprises have an independent responsibility to respect human rights. United Nations Guiding Principles on Business and Human Rights provides global standard for preventing and addressing the risk of adverse impacts on human rights linked to business activities. This paper builds on the finding that Republic of Slovenia is one of the few countries that have adopted national action plan on business and human rights. Paper further argues that state-owned enterprises should play key role in promoting, respecting and protecting human rights in business. Slovenian state has capital investments in a number of major companies, therefore, its responsibility for protection of human rights in business is even greater. After analyzing Slovenian national action plan on business and human rights, paper focuses on its implementation in the Slovenian business practices. It is argued that all Slovenian state-owned enterprises should explicitly commit to respect human rights in business and to prevent possible negative impacts on human rights as state-owned enterprises should lead by example. Furthermore, such commitment of the Slovenian state-owned enterprises would be in accordance with the concept corporate human rights due diligence which is expected to become mandatory in the EU in the near future.

Minority shareholder protection in group of companies and its effect on the economic growth : the case of Slovenia

Opis: Building on some of the key findings of the so-called law matters theory and its criticism, and taking into account that the economic growth of the Slovenian economy is weak, this paper emphasizes the importance of the minority shareholder protection for the economic growth. Since a group of companies has become the prevailing form of large enterprises, the focus of the paper is on the outside minority shareholder protection. Although groups of companies are a well-known and established topic in several law sectors at the national and the EU level (competition law, tax law, labour law etc.), they are only seldom the subject of the national or EU company law. However, Slovenia is one of only a few member states that have codified company law relating to group of companies. This paper finds that Slovenian normative framework provides a comprehensive protection for outside minority shareholder. As it is especially the enforcement matters that are relevant, not only the codified law (in books), further research on the Slovenian company law relating to group of companies is legitimate and necessary, and should revolve around the question of whether the regulation has achieved the desired objectives in the practice.

Cenovno predatorstvo v Sloveniji : pravno razlogovanje v perspektivi naziranj Komisije in Sodišča EU

Opis: Prispevek analizira kronološko zadnjo in doslej najpomembnejšo odločbo Urada RS za varstvo konkurence, ki obravnava cenovno predatorstvo, in sicer v perspektivi normativnega okvira v Republiki Sloveniji in Evropski uniji ter praksi Komisije in Sodišča EU. Avtor ugotavlja, da odločba sledi novejšim konceptom in nadziranjem o cenovnem predatorstvu v EU, vendar še vedno poudarja ugotavljanje izključitvenega namena namesto protikonkurenčnih učinkov. Avtor ugotavlja tudi precejšna terminološka razhajanja v teoriji in neskladja s slovenskimi prevodi relevantnih dokumentov in sodne prakse.
