Creation of own reserves for own shares in the acquisition of own shares for withdrawal by simplified procedure under Slovenian law where the consideration is paid in instalments

Opis: During the process of withdrawing own shares, the rules that are relevant, among others, to their acquisition by the company are regulations governing the creation of reserves for own shares. The regulations are clear in cases where the company acquires their own shares simultaneously with the payment of the purchase price. This article will pertain to the proper application of these regulations according to Slovenian law, specifically in cases where the company pays the purchase price for their own shares, which it intends to withdraw after acquisition, in instalments, and acquires their own shares only after paying the last instalment of the purchase price.

Družinski odnosi in možni konflikti ter njihov vpliv na razvoj družinskega podjetja

Opis: Ker organizacijo sestavljajo ljudje, je bistvenega pomena, kako se le-ti vedejo drug do drugega. Kvaliteta poslovanja se namreč doseže s kakovostnimi medsebojnimi odnosi. Glavni dejavnik, in hkrati tudi vir zaposlenih, novih idej in kapitala v družinskem podjetju, je prav družina. Vsa družinska podjetja, predvsem člani družine, ki so vanje vključeni, si zato prizadevajo za kvalitetne medsebojne odnose. Ljudje smo socialna bitja, z lastnimi »notranjimi konflikti« in spoprijemi s frustracijami, ki vplivajo na naša vsakdanja soočenja z drugimi ljudmi in velikokrat privedejo do tako imenovanih zunanjih konfliktov. Ti pa nato povzročajo skrhanost odnosov znotraj samega podjetja, še posebej močno vplivajo na družinska podjetja, katerih večino predstavljajo člani družine. V delu diplomskega projekta smo preučili konflikte ter njihov vpliv na same odnose in razvoj družinskega podjetja. Vsebinsko je naloga razdeljena na teoretični in empirični del, ki se med seboj navezujeta in dopolnjujeta z reševanjem problematike družinskih konfliktov. V teoretičnem delu smo najprej osvetlili pojem družinskega podjetja in njegove ključne značilnosti. Med drugim tudi ključne udeležence in njihove prednosti ter slabosti. Nadalje smo se osredotočili na definicijo družine kot skupnosti. V okviru tega poglavja smo preučili vpliv družine na razvoj družinskega podjetja, vzgojo otrok in spoznali življenjski cikel družine. V predzadnjem poglavju je bila naša pozornost usmerjena na konflikte. Tako smo si znotraj tega poglavja prizadevali za navedbo vzrokov, ki vodijo v konflikte, opredelitev medgeneracijskih odnosov ter morebitnih konfliktov znotraj posameznih članov ter podali dve možni strategiji reševanja konfliktov s pomočjo pogajanj. V empiričnem delu smo na podlagi v tujini opravljene študije opisali družinsko podjetje Durga and Company ter konflikte, ki so družino spremljali od same ustanovitve pa vse do vstopa in udejanjanja tretje generacije v samem podjetju.

Assets without a legal holder

Opis: In recent years, the presence of certain assets, e.g. shares, immovable property or business shares, the owner or the holder of which no longer exists, can be identified in business practice. When the holder ceases to exist, he loses his legal personality and thus the ability to be the holder of rights and obligations in legal relationships. This article analyses legal regulation on the winding up of companies, in which the author sets out to answer the question of what leads to such unusual situations in practice. The winding up procedure should in fact resolve all legal relationships of those participating in a company. However, problems arise when cancelling a company from the court register without liquidation. Additionally, Slovenian Constitutional Court just recently found parts of the regulation of this procedure unconstitutional. The author offers a possible solution to the dilemma of how to transfer assets without a legal holder to a new holder or how to otherwise resolve the still existing legal relationships within the wound up company.

5.
Dimensions of decision-making process quality and company performance

Opis: This paper investigates the relationship between the dimensions of the decision-making process quality and company performance of top managers’ in Slovenia. We found out that companies whose managers exhibit an above-average dimension of openness of spirit in the quality of the decision making process, on average, have a higher stance on foreign markets as companies in which managers show a below-average open spirit. For the managers who work in companies that are present in foreign markets, we could confirm that there is a low/weak correlation between the dimension of effort of the decision-making process quality and the number of employees in a company.

Individual's resistance regarding BPM initiative

Opis: Though the individual’s resistance is very often considered a significant barrier to BPM success, the literature on that topic is quite scarce. With the aim to shed light on this topic, we have conducted research of a Croatian insurance company. We examined the impact of individual’s resistance regarding BPM initiative using the theory of reasoned action. Structural equation model was developed using the data collected by the survey among company employees. The results indicate that subjective norms are positively related to the individual’s resistance regarding BPM initiative, while positive initial belief regarding BPM initiative tends to decrease the probability of resistance to change.

The impact of management control systems - strategy interaction on performance management

Opis: We study the interaction between management control systems and strategy its impact on organisational performance considering the way in which multiple aspects of control systems and dimensions of context combine in a variety of ways to enhance performance. Our purpose is to investigate the relationship among management control systems, strategy and organisational performance in a particular company. The contribution of this study is that it upgrades the existing theory in that it does not only establish a relationship between strategy and management control systems, but also considers how this relationships impacts on organisational performance. The study shows that the combination of performance-driven behaviour and regular use of management control systems leads to improved results. The second contribution of the study is that it incorporates a wider range of controls, including informal controls as being equally important as formal controls, to provide a more comprehensive analysis, as opposed to the majority of prior studies focusing on a more limited range of controls. In this way, this paper contributes to the literature in terms of examination of the broader components of management control systems than was previously done.

Mobbing in company

Opis: Background and purpose: The individual is exposed to ever more covert psychological violence or mobbing in workplace within companies. The aim of this study is to analyse the level and the types of psychological violence within a company in which the individual works in their daily lives. Design/Methodology/Approach: Using systematic method current mobbing literature reviews were analysed. Based on a review and analysis of the literature, we recognised increasing amounts of workplace bullying. Then we used and extended Dilts’ model and created a model in which we portrayed the different levels and types of bullying in a company. The presented model is a tool for identifying workplace violence within the company. Results: At the company environment level, there is much bullying associated with social-demographic characteristics and working conditions. At the level of individual behaviour, the type of mobbing exists that is associated with the company’s leadership styles. At the level of professional qualifications, a lack of confidence causes mobbing. At the level of values and beliefs, mobbing is present in attitudes and behavioural intentions. At the level of identity, we can observe mobbing according to sexual identity. At the level of organizational culture, we can recognize a type of mobbing called ‘obsessive dedication’ to working efficiency and organizational silence. Conclusion: Based on the analysis of selected literature we exposed a range of types and levels of mobbing in company. The expanded Model on levels of mobbing in companies provides a framework for collecting information. The user can identify workplace violence and each strategic organizational level in the work organization.

How public relations impact on a company's effectiveness

Opis: The role of public relations is dealing with the identification of organization's strategic public and developing communications programs for building solid, open and trusting relations with them. Many companies have taken a limited view of the impact that public relations can have on company's overall effectiveness. This paper consists of two parts: the theoretical framework for the role of public relations in the overall effectiveness of the company and an empirical analysis based on the primary data collected. We classified and analyzed different public relations factors (i.e. factors related to managing and implementing public relations) that influences the effectiveness of the company. We explored the correlation between public relations and a company's effectiveness and argued that public relations factors play a critical role in that effectiveness. We used linear regression and we found a significant linier relationship between the independent variable (public relations) and the dependent variable (company effectiveness).

A successful CRM implementation project in a service company

Opis: Customer relationship management - CRM implementations increased rapidly in Slovenia in the last few years, following the trends elsewhere. Studies reporting how the implementation project goes on before, between and after the implementation are scarce. We offer a thorough case study analysis of the CRM implementation with a positive outcome in a Slovene service company. Case study demonstrates that CRM implementation is a holistic and complex concept, which means that it is not merely an integration of new information technology, but everything that happens around the business processes changes. We recommend that the company has already established a process approach and the orientation toward customers. Study showed the need for efficient leadership, acquirement of resources and CRM strategy implementation control; trust to the software solution shouldn't be self-understood. Through implemented analytical CRM company can improve the relationship with customers, achieve larger information sharing between employees and accept better strategic decisions.
