Primerjalnopravna ureditev enotirnega sistema upravljanja delniških družb v Sloveniji, Evropski uniji in Veliki Britaniji

Opis: Delniška družba je pravnoorganizacijska oblika kapitalske družbe, ki ima svoj kapital razdeljen na delnice. Kot pravna oseba upnikom odgovarja z vsem svojim premoženjem, delničarji pa za obveznosti družbe upnikom ne odgovarjajo. Ker je pravna oseba potrebuje organe upravljanja. Upravljanje družb je tradicionalno opredeljeno kot sistem, s katerim se družbe vodijo in obvladujejo, prav tako pa vključuje vrsto povezav med vodstvom družbe, odbori, delničarji in drugimi zainteresiranimi stranmi. Tako kot v slovenski zakonodaji, je tudi v primerjalni korporacijski zakonodaji opazno povečevanje števila opcijskih modelov, torej modelov, ki družbam omogočajo avtonomno izbiro med enotirnim in dvotirnim sistemom upravljanja. K temu razvoju je pomembno prispevala Uredba Sveta (ES) št. 2157/2001 o statutu evropske delniške družbe (Societas Europea - SE), ki je države članice prisilila, da družbam, organiziranim kot SE, zagotovijo možnost izbire med obema sistemoma. V Sloveniji je od ZGD-1 dalje omogočena avtonomna izbira med enotirnim in dvotirnim sistemom upravljanja tako za nacionalne delniške družbe kot za SE, Velika Britanija pa za nacionalne delniške ureja obvezen enotirni sistem upravljanja. Avtorica v magistrskem delu analizira in primerja pravno ureditev enotirnega sistema upravljanja delniških družb v Sloveniji, Veliki Britaniji in Evropski uniji. Predstavi ureditev enotirnega sistema upravljanja normirano v slovenskem Zakonu o gospodarskih družbah, britanskem Companies Act 2006 in Uredbi Sveta (ES) o ustanovitvi Evropske delniške družbe. Podrobno predstavi ugotovitve slovenske in britanske teorije, ter evropsko ureditev in njen vpliv na pravno ureditev enotirnega sistema upravljanja v Sloveniji in Veliki Britaniji. Prikaže skupne značilnosti in razlike med obema nacionalnima sistemoma, ter sistemom upravljanja določenim na ravni Evropske unije.

Integration of technology management and selected specifics of best technology-integrated companies

Opis: Technological know-how is a very significant determinant of success that can primarily depend on a systemic, integrated approach to Technology management (TM), on a well-defined and implemented technology strategy, but also on adequate overall socio-environmental characteristics of the technological system. The main tasks of integrated TM are to ensure systematic monitoring, analysis, planning, organizing, controlling, assessment, and effective use of the technological system to more effectively integrate it into a functional entity and to support also other related business goals and processes. This article deals with the specification of key parts of the TM integration with the particular emphasis on the selected specifics of the best technology-integrated companies in the world.

Analysis of online marketing management in Czech Republik

Opis: Background and Purpose: Doing business over the Internet has become increasingly competitive for many companies. The aim of this study is to analyse the current state of utilizing online tools, approaches of Czech companies to the management of online marketing activities and to identify weaknesses and opportunities of these activities. Methodology/Approach: The paper presents empirical research that uses two different approaches in investigation: (1) descriptive quantitative research of current state, based on examination of websites of a sample of 4,584 Czech companies and (2) questionnaire survey among 161 Czech companies which do business via the Internet. Results: There is a large gap that currently exist between the use of social media and its connection to marketing activities. The competitive level of the use of social media in the Czech Republic is still low compared to the USA companies. The online marketing management (OMM) of the majority of companies rely on individual assessment and do not use any metrics or management methodologies. One of the main problems of OMM is the ever increasing number of tools used in marketing activities as well as low possibility of a broader perspective on the success of cross channel marketing activities. Conclusion: In the future, it is expected that a large number of Czech companies will increasingly use online tools as social media for their marketing activities. In the context of this development they cannot rely only on individual assessment to manage these activities as they do currently, but they will have to use comprehensive tools or methodologies. Based on this, we can conclude that Czech companies still have enough opportunities for a better use of online tools for marketing purposes.

The role of the process organizational structure in the development of intrapreneurship in large companies

Opis: Modern companies’ business environments have become increasingly complex, dynamic, and uncertain as a consequence of globalization and the rapid development of information communications technology. Companies are urged to increase their flexibility in order to keep their competitiveness in the global market. The affirmation of intrapreneurship becomes one of the basic ways for achieving higher adaptability and competitiveness of large companies in the modern business environment. In this context, the choice of an organizational solution that improves the development of entrepreneurial orientation and increases employee entrepreneurship and innovativeness becomes an important task for large companies. Research studies and business practices have indicated that various types of modern organizational forms enable the development of intrapreneurship. Therefore, the main aim of this paper is to identify dominant characteristics of organizational solutions and analyse their influence on the development of intrapreneurship in large companies in Bosnia and Herzegovina (BiH). The research results indicate that current organizational characteristics are not favourable for the development of intrapreneurship in large BiH companies and that improvement is necessary in order to create an enabling environment for intrapreneurship and innovativeness. Based on these findings, recommendations for appropriate organizational changes are presented that might result in a more intensive development of intrapreneurship in large BiH companies.

Dependence between Croatian and European stock markets : a copula GARCH approach

Opis: The objective of this paper is to analyze dependence structure between the returns of Croatian and five European stock markets (Austrian, French, German, Italian, and the U.K.ʼs). We propose a copula GARCH approach, where the return series are modeled as univariate GARCH processes and the dependence structure between the return series is defined by a copula function. Four different copulas are fitted - a constant and conditional normal and symmetric Joe-Clayton (SJC) copulas - and estimated by a semi-parametric method. We found that the time-varying normal copula yields the best fit for CROBEX-CAC40, CROBEX-DAX, and CROBEX-FTSE-MIB stock indices pairs, while the time-varying SJC copula is the best fit for CROBEX-ATX and CROBEX-FTSE100. Further, we found that the probability of simultaneous extreme positive and negative returns in Croatian and other European stock markets can increase to 0.77 during turbulent times. The lower and upper tail dependence dynamics between Croatian and other European stock markets is similar in pattern, differing only in scale. The basic conclusion of the research is that the dependence between the stock markets of Croatia and five major European stock markets is dynamic and can be properly captured by either a dynamic normal or symmetrized Joe-Clayton copula GARCH models.

Corporate governance quality in selected transition countries

Opis: Important questions that concern the notion of good corporate governance focus on what good corporate governance is, who benefits from good corporate governance, and how corporate governance quality can be measured. The aim of our study was to broaden our understanding of the role of standards and codes of good corporate governance in improving governance practices. We found that not only formal regulations, standards, and governance codes, but also corporate governance indices - which make the assessment of companies’ governance practices possible - are important in measuring and improving governance quality. The results of the research based on the SEECGAN Index methodology indicated that mandatory requirements and voluntary recommendations of high governance standards had a positive impact on the corporate governance practice in Slovenia.

Risk management in the pharmaceutical industry in Slovenian companies

Opis: The pharmaceutical industry is one of the most competitive businesses in the world. Supply chain in this industry has been directed towards the production of large batches to avoid lack of supplies, and the achievement of regulatory requirements, at the cost of high level of inventory, higher costs and inventory write-off due to expiration or other reasons. In recent years this industry is facing major changes and challenges such as intense globalization processes, increased competition and innovations in technologies, which has broadened and deepened risks in supply chain. The paper reports the results of the study of the risk in distribution processes of Slovenian pharmaceutical companies, which was conducted among five companies and aims to draw attention to risks that arise in supply chain, to emphasize the importance of their management and to present a model for an effective assessment of risk in companies, developed at the Faculty of Logistics.

E-business in micro companies : lessons learned

Opis: E-business is entering its mature stage. E-business in large companies has been researched in several surveys, whereas SMEs and micro companies have been researched less often. Micro companies are, together with SMEs, a critical part of national economies worldwide; both are central to the EU%s development strategies. It is well known that, in an information society, business models are driven by e-business concepts, and e-business models are emerging. An in-depth understanding of e-business use in micro companies is crucial for the success of such companies. The main purpose of this paper is to research the intensity of e-business use, advantages and disadvantages of e-business, the biggest problems of e-business implementation/maintenance, and attitude toward trends of e-business in micro companies. The paper presents findings from a survey carried out on a sample of micro companies. Data were collected via an e-questionnaire, and results were calculated using SPSS. The data confirmed that e-business in micro companies is most often used in connection with e-banking; e-business with the government also appears to be very important.

Opis: The monograph Slovenian Entrepreneurship Observatory 2003 consists of several research issues. In the first part, a short review of the current level of entrepreneurship is given, outlined on the basis of economic and statistical data. Understanding what is happening in Slovenian enterprises is important not only in order to pursue an appropriate economic policy but also in order to find the advantages and disadvantages of Slovenian companies in comparison with enterprises in other European countries. If Slovenia wishes to join the most developed European countries, it will have to speed up its economic growth. In the second part of a monograph, a number of topics, based on a survey of a sample of 672 enterprises are dealt with. We studied the relationship between banks and small and medium-sized enterprises (SMEs), female entrepreneurship, clustering, social responsibility of companies and the development of competences.
